§ 1 Subject Matter of the Agreement

(1) The Licensor grants the Licensee the right to distribute the products Fuelsaver24 and Oilsaver24 worldwide and without geographical restriction to private end consumers (hereinafter “B2C World-License”).

(2) The Licensee purchases the products from the Licensor and resells them in its own name and on its own account. There is no employment relationship and no agency status.

(3) The distribution right is granted on a non-exclusive basis. The Licensor reserves the right to appoint further licensees.

§ 2 License Fee, Order and Conclusion of Contract

(1) Order and Payment: The Licensee orders and pays the license fee exclusively via the Licensor's online shop at fuelsaver24.com. The Licensee will receive the direct order link for the license personally from the Licensor. All payment methods available in the shop are available.

(2) One-time License Fee: The license fee amounts to €2,500.00 plus statutory VAT (one-time payment) or 12 monthly installments of €250.00 plus statutory VAT (installment payment) and is to be paid once for the respective contract year.

(3) Conclusion of Contract: After successful payment, the Licensor will send the Licensee by post an invoice and the license agreement signed by the Licensor for counter-signature. The letter will include a stamped return envelope. The Licensee is obliged to return the signed agreement to the Licensor immediately. The agreement is deemed concluded upon receipt of payment; the signatures serve for mutual documentation.

(4) Automatic Expiry: If payment is canceled or reversed, all rights of the Licensee under this agreement shall automatically expire.

(5) Installment Payment – Subsequent Payments: For installment payments, the monthly subsequent installments are to be settled via the online shop on the same day of the following month. In the event of payment default of an installment for more than 7 days, the Licensor is entitled to terminate the agreement without notice. In this case, all installment payments made up to that point shall be forfeited without compensation in favor of the Licensor; a refund is excluded.

(6) In case of automatic renewal, the license fee for the subsequent year must be reordered and paid via the online shop.

(7) Exclusion of Refund: The license fee will under no circumstances be refunded in whole or in part, regardless of the reason.

(8) From the 2nd contract year, the license fee of €2,500.00 plus VAT is to be paid as a one-time amount, unless a new written agreement for installment payment is made.

§ 3 Purchase Conditions

(1) Flat Rate License (One-Time Payment): The Licensee purchases the products Fuelsaver24 and Oilsaver24 at the Licensor's regular purchase price:

(3) The Licensee is obliged to sell the products to end consumers for at least the RRP. Price undercutting is not permitted.

§ 4 Obligations of the Licensee

The Licensee undertakes to:

• market the products exclusively under the Fuelsaver24 / Oilsaver24 brand
• comply with the brand guidelines and marketing guidelines according to Annex 1
• not distribute competing products without prior written consent
• comply with all legal regulations

§ 5 Contract Term and Termination

(1) The agreement is concluded for a term of one (1) year from the date of receipt of payment and shall automatically renew for a further year unless terminated in writing with a notice period of 3 months before the end of the respective contract year.

(2) Termination Without Notice: The Licensor is entitled to terminate the agreement without notice and without prior warning in the event of:

• Payment default of more than 30 days
• Violation of brand guidelines
• Insolvency or inability to pay
• Unfair business practices or brand-damaging conduct

(3) Any termination must be in writing.

§ 6 Confidentiality

Both parties undertake to treat all confidential information as strictly confidential. This obligation also applies for 3 years after the termination of the contract.

§ 7 Liability

(1) The Licensor shall be liable without limitation for damages resulting from injury to life, body or health, as well as for intent and gross negligence.

(2) The Licensee is liable for all damages arising from its distribution activities.

§ 8 Final Provisions

(1) This agreement shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The place of jurisdiction for all disputes is Rostock.

(3) Amendments and additions must be made in writing.

(4) Should individual provisions be ineffective, the validity of the remaining provisions shall remain unaffected.

A) BRAND IDENTITY

• ❌ Passing on materials to third parties

• Every post must correctly name the brand
• No negative statements about competitor products
• Customer reviews may only be shared unedited and unaltered
• In case of complaints: immediate forwarding to the Licensor

G) QUALITY ASSURANCE

• The Licensor reserves the right to review marketing materials
• In case of violations, a written warning will be issued
• In case of repeated violations, the Licensor is entitled to terminate without notice (§ 5 (2))
